Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, software, and services provided by Adobo Solutions ("Adobo Solutions," "we," "us," or "our"), including the AdoBoost cold-email outreach platform. By creating an account or using our services, you agree to these Terms. If you do not agree, do not use the services.

1. Eligibility & Accounts

• You must be at least 18 years old and able to form a binding contract.
• You are responsible for the accuracy of your account information and for keeping your password secure.
• You are responsible for all activity that occurs under your account, including activity by team members or sub-accounts you create.

2. The Services

AdoBoost provides tools for sending and managing cold-email outreach, including campaign automation, inbox warmup, email verification, deliverability monitoring, and analytics. Adobo Solutions also offers related agency services such as virtual assistants and done-for-you lead and infrastructure setup. Specific features depend on your selected plan.

3. Acceptable Use

You agree not to use the services to:

• Send unsolicited bulk email in violation of our Anti-Spam Policy or any applicable law (including CAN-SPAM, GDPR, and CASL).
• Send purchased, scraped, or rented email lists where you have no lawful basis to contact recipients.
• Distribute malware, phishing, fraudulent, deceptive, or illegal content.
• Promote hate speech, harassment, adult content involving minors, or other prohibited material.
• Circumvent sending limits, rate limits, or plan restrictions, or share your account to evade them.
• Reverse engineer, resell, or white-label the platform except where your plan expressly permits it.

Violation of this section may result in immediate suspension or termination without refund.

4. Plans, Billing & Refunds

• Paid plans are billed in advance on a recurring basis (monthly or annually) until cancelled.
• Plan limits — such as contact storage, warmup slots, verification credits, and AI credits — are described at the point of purchase and enforced by the platform.
• You may cancel at any time; cancellation takes effect at the end of the current billing period. Unless required by law, fees already paid are non-refundable.
• We may change pricing with reasonable notice. Continued use after a price change constitutes acceptance.
• Done-for-you services (e.g., mailbox/domain provisioning or lead-list building) may carry separate one-time or pass-through costs disclosed before you order.

5. Your Content & Data

You retain ownership of the contacts, templates, and content you upload. You grant us a limited license to process that content solely to provide the services. You represent that you have the necessary rights and lawful basis to upload and use such content, and you are solely responsible for your outreach and its compliance with applicable laws.

6. Deliverability Disclaimer

We provide tools to improve email deliverability (warmup, verification, rotation, monitoring) but we do not guarantee inbox placement, open rates, reply rates, or any specific outreach results. Deliverability depends on many factors outside our control, including your domain reputation, content, list quality, and recipient mail providers.

7. Third-Party Services

The services integrate with third parties such as email providers, payment processors, and AI providers. Your use of those services may be subject to their own terms. We are not responsible for third-party services we do not control.

8. Intellectual Property

The platform, including its software, design, and trademarks ("AdoBoost," "Adobo Solutions"), is owned by Adobo Solutions and protected by law. These Terms grant you a limited, non-exclusive, non-transferable right to use the services; no other rights are granted.

9. Suspension & Termination

We may suspend or terminate your account if you breach these Terms, the Anti-Spam Policy, or applicable law; if your usage threatens the security, deliverability, or integrity of our platform or other users; or for non-payment. You may close your account at any time from your settings.

10. Disclaimers & Limitation of Liability

The services are provided "as is" and "as available" without warranties of any kind, express or implied. To the maximum extent permitted by law, Adobo Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim arising from the services shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Adobo Solutions from any claims, damages, or expenses arising out of your use of the services, your content, or your violation of these Terms or applicable law — including claims related to your outreach campaigns.

12. Governing Law

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law principles. Disputes shall be subject to the exclusive jurisdiction of the courts of the Philippines, unless otherwise required by applicable consumer law.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via the service or by email. Continued use after changes take effect constitutes acceptance.
